NUES is a digital agency specializing in web design, Webflow development, creative strategy, digital experiences, and related consulting services. Our services may evolve over time and we reserve the right to modify, expand, or disconti-nue any service offering at our discretion.
Acceptance of Terms
By accessing our website, submitting an inquiry, requesting a proposal, signing a project agreement, or purchasing any service from NUES, you confirm that you have read, understood, and agreed to these Terms of Service.
If you are entering into an agreement on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
Services
NUES provides services including, but not limited to:
- Website design
- Webflow development
- CMS implementation
- Website optimization
- Website maintenance
- Technical consulting
- UI/UX design
- Brand support
- Website migrations
- Ongoing support retainers
The specific scope, deliverables, timelines, and pricing for any engagement will be defined separately in proposals, statements of work, contracts, or service agreements.
Project Engagements
Every project begins with a mutually agreed scope of work.
Any requests, revisions, deliverables, or features outside the agreed scope may be treated as additional work and may require additional fees, timelines, or agreements.
NUES reserves the right to determine whether a request falls outside the original scope.
Client Responsibilities
To ensure successful project delivery, clients agree to:
- Provide accurate information and project requirements.
- Deliver feedback in a timely manner.
- Supply necessary assets, content, credentials, and approvals.
- Designate appropriate stakeholders for decision making.
- Review deliverables within reasonable timeframes.
Project delays resulting from missing content, delayed approvals, unavailable stakeholders, or incomplete information may impact delivery timelines.
Payment Terms
Payment schedules will be outlined in individual project agreements or invoices.
Unless otherwise agreed:
- Deposits are non-refundable once project work has commenced.
- Invoices must be paid within the stated payment period.
- Late payments may result in project delays, suspension of services, or additional fees where legally permitted.
- NUES reserves the right to withhold final deliverables until outstanding balances have been paid.
Clients are responsible for any taxes, duties, or fees required by applicable law.
Revisions
Projects may include a specified number of revision rounds.
Additional revision requests beyond those included in the agreed scope may be billed separately.
NUES will make reasonable efforts to accommodate feedback, but cannot guarantee unlimited revisions or redesigns.
Intellectual Property
Upon full payment of all agreed fees, ownership of final approved deliverables created specifically for the client will transfer to the client unless otherwise stated in writing.
NUES retains ownership of:
- Internal processes
- Development methodologies
- Proprietary frameworks
- Reusable code libraries
- Design systems
- Templates
- General know-how and expertise
NUES may reuse non-confidential concepts, techniques, and learnings developed during projects.
